Welcome to VerityLink. These Terms of Use constitute a legally binding agreement between you and VerityLink governing your access to and use of our website, products, and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service. We may modify these Terms at any time by posting the changes on this page. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Service Usage and Restrictions

VerityLink provides AI-powered content verification and assessment services. By using our Service, you agree to the following:

• You may use the Service for your personal or business content creation and verification needs.
• You may upload, create, and analyze content within the scope of our Service's intended functionality.
• You may share and export your analyzed content as permitted by the Service features.

3.2 Prohibited Use

You agree not to use the Service:

• For any unlawful purpose or to engage in illegal activities
• To generate, upload, or disseminate content that is defamatory, obscene, pornographic, threatening, or otherwise offensive
• To infringe or violate the intellectual property rights or any other rights of others
• To transmit viruses, malware, or other harmful computer code
• To attempt to gain unauthorized access to secured portions of the Service
• To interfere with or disrupt the integrity or performance of the Service
• To harvest, collect, or gather user data without permission
• To create deepfakes, impersonate others, or spread misinformation
• To circumvent, disable, or otherwise interfere with security-related features of the Service

4. Content and Intellectual Property

4.1 Your Content

When you upload, create, or share content through our Service ("User Content"), you retain all ownership rights to your content.

However, by uploading content to the Service, you grant VerityLink a worldwide, non-exclusive, royalty-free license to use, reproduce, process, adapt, and publish the content solely for the purpose of providing and improving our Service.

You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not violate the rights of any third party, including copyright, trademark, privacy, or other personal or proprietary rights.

4.2 VerityLink Content

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of VerityLink and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of VerityLink.

4.3 AI-Generated Analysis

The AI-generated analyses, assessments, and feedback provided by our Service are intended for informational purposes only.

While we strive for accuracy and reliability, you acknowledge that AI systems may have limitations and that you are ultimately responsible for verifying and ensuring the accuracy of your own content.

5. Subscription and Payment

Some features of the Service may require payment of fees. You agree to pay all fees in accordance with the fees, charges, and billing terms in effect at the time a fee is payable.

Subscription fees are non-refundable except as required by law or as explicitly stated in our refund policy. You may cancel your subscription at any time, but you will not receive a refund for the current billing period.

We reserve the right to change our prices at any time. If we change the pricing for your subscription, we will provide notice of the change via email at least 14 days before the change is to take effect. Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the changed amount.

6. Service Modifications and Availability

VerityLink reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice at any time. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

We will make reasonable efforts to keep the Service operational. However, certain technical difficulties, maintenance, or other factors beyond our control may result in temporary interruptions. We reserve the right to restrict, suspend, or terminate your access to the Service or any feature or part thereof at any time without notice.

7. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. VerityLink expressly disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

VerityLink does not warrant that: (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements or expectations.

8. Limitation of Liability

In no event shall VerityLink, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

9. Indemnification

You agree to defend, indemnify, and hold harmless VerityLink and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (i) your use and access of the Service, (ii) your violation of any term of these Terms, (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right, or (iv) any claim that your User Content caused damage to a third party.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions. Any legal action or proceeding relating to your access to or use of the Service shall be instituted in the federal or state courts located in San Francisco County, California, and you agree to submit to the personal jurisdiction of such courts.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Entire Agreement

These Terms constitute the entire agreement between you and VerityLink regarding the Service and supersede all prior and contemporaneous written or oral agreements between you and VerityLink. These Terms may only be modified by a written amendment signed by an authorized representative of VerityLink, or by the posting of a revised version by VerityLink.
